Terms of use

This English version is provided for convenience. In case of discrepancy, the French version prevails.

By accessing Locato, you accept these terms of use. Please read them carefully. If you do not accept these terms, do not use the service.

1. Who we are

9459-3142 Québec inc., a company established in Quebec (Canada), operates the website locato.ca and the associated services under the “Locato” brand (hereinafter “Locato”, “we”, “our”). In these terms, “you” means any person who accesses or uses the service.

2. Nature of the service: legal information, not advice

Locato is a document-assembly tool for Quebec residents dealing with housing matters. It helps you structure the facts of your situation and produce documents such as a demand letter (mise en demeure) from templates.

Locato does not provide legal advice. Nothing you read or receive from Locato constitutes legal advice, a recommendation to act, or a prediction about the outcome of a matter. Using Locato creates no lawyer-client relationship between you and Locato or its employees.

For legal advice tailored to your situation, we strongly recommend that you consult a lawyer or contact your local housing committee (comité logement). Locato is not among the persons authorized to practise as a lawyer or notary under the Act respecting the Barreau du Québec or the Notaries Act of Quebec.

3. Account and authentication

Access to certain Locato features requires creating an account through a third-party authentication provider (e.g. Google). You are responsible for the security of your account and for any activity carried out under it. Notify us immediately if you suspect unauthorized access.

4. Use of the service

4.1 Eligibility

You must be at least 14 years old to use Locato. If you use the service on behalf of another person or a legal entity, you represent that you have the authority to do so.

4.2 Acceptable use

You agree to:

  • Provide accurate, complete and up-to-date information;
  • Use Locato only for personal and legitimate purposes;
  • Not use Locato to harass, defame or threaten another person;
  • Not attempt to circumvent our security measures or overload our systems (mass scraping, denial of service, injection, etc.);
  • Not use Locato to generate automated content at scale, resell it or integrate it into another service without our written authorization;
  • Not attempt to extract the source code, templates or internal instructions through reverse engineering or prompt injection;
  • Comply with applicable laws, including regarding the privacy of the other party when you prepare a demand letter.

4.3 Your responsibilities

You are solely responsible for the content you enter and the documents you send from Locato. You are responsible for verifying the accuracy of a demand letter before sending it, as well as the recipient's consent to receive communications by email where required.

5. Artificial intelligence content

The assistant's responses and the text of the generated documents rely on an artificial intelligence model. Despite our best efforts to frame its responses, the model may produce incomplete, outdated or incorrect information. You must always review the content before using it and, if needed, have it validated by a legal professional.

6. Pricing and payment

6.1 Paid services

Some Locato services are offered for a fee, notably PDF generation and sending by certified email. The rates in effect are displayed on the site at the time of order. All prices are stated in Canadian dollars (CAD) and include applicable taxes, unless otherwise indicated.

6.2 Payment processing

Payments are processed by Stripe, Inc., a third-party payment processor. Locato stores no credit card information. By making a payment, you accept Stripe's terms of use.

6.3 Refund policy

Because of the digital and immediate nature of the service (document generation, email sending), purchases are generally non-refundable once the service has been rendered. If your certified email is not delivered within 24 hours of sending, we refund you automatically, with no action required on your part. For any other technical error on our part (email not sent, PDF not generated), you may contact us for a refund within 30 days of the purchase.

7. Intellectual property

The site, source code, trademarks, logos, editorial content, articles, demand letter templates and interface components are the property of Locato or its licensors, and are protected by Canadian and international laws on copyright, trademarks and trade secrets.

You retain ownership of the information you enter and the documents you generate for your own use. You grant us a limited, non-exclusive and revocable license to use this information solely to provide you with the service, as described in our privacy policy.

8. Emails and proof of receipt

When you send a demand letter by email through Locato, we keep a chain of traceability that includes:

  • The cryptographic fingerprint (SHA-256) of the transmitted PDF document;
  • The sending, delivery and opening timestamps;
  • The SMTP responses of the recipient server;
  • A downloadable proof report in PDF format.

This traceability is based on principles of the Act to establish a legal framework for information technology (LCCJTI, CQLR c. C-1.1). However, Locato is not a registered-mail service in the postal sense. For situations where a method of sending with enhanced legal value is required by law or by a tribunal, you must use another means (registered mail, bailiff, etc.).

Opening tracking relies on a tracking pixel embedded in the HTML email. Some email clients block image loading, which can prevent opening detection. The absence of an opening confirmation does not mean the email was not read.

9. Availability and changes

We do our best to keep Locato available, but we do not guarantee that it will be uninterrupted or error-free. We may modify, suspend or withdraw features at any time, with reasonable notice where possible. If a paid feature is withdrawn, users who have paid will still be able to access their existing documents.

10. Limitation of liability

To the fullest extent permitted by law, Locato, its employees, officers and providers are not liable for direct, indirect, incidental, special or punitive damages that may result from:

  • your use of the service or the inability to access it;
  • content generated by the artificial intelligence model;
  • a decision made based on information provided by Locato;
  • an error, omission or inaccuracy in a generated document;
  • a delay, non-delivery or rejection of an email by the recipient or their provider;
  • the loss of data, business opportunities or profits.

In no event will our total liability exceed the amount you paid us during the twelve (12) months preceding the claim.

The service is provided “as is” and “as available”, without express or implied warranty, including of merchantability, fitness for a particular purpose or absence of error. This section does not limit your protection where the law prohibits it, notably under the Consumer Protection Act of Quebec.

11. Indemnification

You agree to indemnify and hold harmless Locato, its officers, employees and providers against any claim, loss, damage, liability or cost (including reasonable lawyers' fees) arising from:

  • your breach of these terms;
  • your use of the service in violation of applicable laws;
  • the content you enter or the documents you send through Locato;
  • any infringement of a third party's rights.

12. Termination

We may suspend or terminate your access to Locato at any time, without notice, if we have reasonable grounds to believe you have breached these terms or the law. You may stop using Locato at any time. In the event of termination, you keep the right to download your existing documents for a reasonable period of 30 days.

13. Changes to the terms

We may amend these terms from time to time. The version in force is always the one published at this address, dated at the top of the document. For substantial changes, we will notify you by email or through a notice on the site at least 30 days before they take effect. By continuing to use Locato after a change, you accept the new terms.

14. Severability

If any provision of these terms is found invalid or unenforceable by a competent tribunal, the remaining provisions remain in full force.

15. Entire agreement

These terms, together with our privacy policy, constitute the entire agreement between you and Locato regarding the use of the service.

16. Governing law and jurisdiction

These terms are governed by the laws applicable in the province of Quebec and the federal laws of Canada applicable therein. Any dispute relating to Locato will be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal, subject to the mandatory provisions in favour of consumers.
